Welcome to VibeCheckList! These Terms of Service ("Terms") govern your use of the VibeCheckList application (the "Service"), operated by Four Hines Technology Group LLC ("we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

License to Use the Service

Subject to your compliance with these Terms, Four Hines Technology Group LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the VibeCheckList application on a device that you own or control, solely for your own personal, non-commercial purposes. You agree in using this service that VibeCheckList is not a medical provider, does not provide medical advice, and is not liable for health outcomes resulting from the use of the Service. VibeCheckList is a self-reflection and productivity application designed for personal organization. VibeCheckList is not a medical device, does not provide medical or mental health advice, diagnosis, or treatment, and does not establish a clinical provider-patient relationship. VibeCheckList is not a Covered Entity or Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). Information entered into VibeCheckList is governed by our Privacy Policy and applicable consumer privacy laws (such as the Washington My Health My Data Act), not HIPAA medical privacy rules. Always consult a qualified healthcare professional regarding any medical or mental health condition.

You agree not to (a) copy, modify, or distribute the application for any purpose; (b) transfer, sublicense, lease, lend, rent, or otherwise distribute the application to any third party; or (c) reverse-engineer, decompile, or create derivative works of the Service.

User Accounts

To use the Service, you must create an account. You are responsible for safeguarding your account information and for all activities that occur under your account.

Account Registration

All information provided when creating an account must be truthful and complete. You are required to notify Four Hines Technology Group LLC via the contact email legal@vibechecklist.com immediately and unambiguously if you think your personal information, including but not limited to User accounts, access credentials, or personal data, have been violated, unduly disclosed, or stolen.

Conditions for Account Registration

Registration of an account to use this service is subject to the conditions outlined below. By registering, you agree to meet these conditions.

You must be 13 years of age or older to register an account and use this Service.
Accounts registered by bots or any other automated methods are not permitted.
Accounts must be registered by an individual. Registration by a business, organization, or other entity is not permitted.
Unless explicitly permitted, your account cannot be shared with any other persons.

By registering, you agree to be fully responsible for all activities that occur with accounts you have registered and to adhere to these Terms.

Account termination

You may request the deletion of your account by contacting us at legal@vibechecklist.com or through the methods provided by the Apple App Store or Google Play Store. Please note that account deletion is permanent, but we may retain certain anonymized data for analytical purposes as permitted by law.

Subscriptions and Payments

The Service may offer features available through a subscription ("Subscription"). By purchasing a Subscription, you agree to pay the specified fees and all fees levied by third-parties.

Billing

Subscriptions are billed on a recurring basis. You will be billed in advance on a recurring, periodic basis (such as monthly or annually).

Cancellation

You may cancel your Subscription at any time through your app store's subscription management page. The cancellation will take effect at the end of the current billing cycle. We do not provide refunds for any remaining Subscription period after cancellation.

Price Changes

We reserve the right to change our Subscription fees at any time. We will provide you with reasonable prior notice of any price changes.

Use of AI Services and Content

Our Service uses generative artificial intelligence ("AI") to provide content. All AI-generated content is provided on an "AS IS" basis, without any warranties of accuracy or reliability. You acknowledge that this content may contain errors or be incomplete. You agree to use such content at your own risk and are responsible for independently verifying its appropriateness and accuracy.

Acceptable Use

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You shall not use the Service to generate content that is harassing, defamatory, hateful, or otherwise harmful or illegal. We reserve the right to suspend or terminate your account if you violate these Terms. We reserve the right to take any appropriate measure to protect our legitimate interests including denying or terminating your account, terminating contracts and reporting misconduct performed through use of this Service to the relevant authorities.

Your account may be terminated and appropriate legal action taken if you engage in any of the following activities:

violate laws, regulations, and/or these Terms;
infringe on any third party rights;
considerably impair our legitimate interests;
offend us or any third party;
sell the output of our Service;
use the Service for any commercial purpose without explicit permission from us.

Limitation of Liability

This Service is provided “AS IS”. To the maximum extent permitted by applicable law, in no event shall Four Hines Technology Group LLC, nor its directors, employees, or agents, be liable for:

any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Service or its content;
any damage, loss, or injury from hacking, tampering or other unauthorized access or use;
any errors, mistakes, or inaccuracies of content;
any interruption or cessation of app services;
any bugs, viruses, trojan horses, or the like that may be transmitted through use of the Service;
any damage, loss or injury resulting from use, hacking, tampering or other unauthorized access or use of the Service;
any issues caused by third-party providers (e.g. App Store, Google Play).

Any use of or reliance on the information provided through use of the Service is at your own risk. To the maximum extent permitted by law, we disclaim all liability for direct, indirect, or consequential loss arising from your use of or reliance on the Service.

Severability

Should any provision or content of these Terms be deemed inapplicable, invalid or unenforceable under applicable law, the inapplicability, invalidity, or unenforceability of such provision or content shall not affect the applicability, validity, or enforceability of the remaining provisions or content, which shall remain in full effect.

Access to external resources

Through this Service you may have access to, or data shared with, external resources provided by third parties. In agreeing to these Terms you acknowledge and accept that We have no control over such resources and therefore are not responsible for their content, availability, reliability, and use of any data shared.

Conditions applicable to any resources provided by third parties, including those applicable to any possible grant of rights in content, result from each such third parties’ terms and conditions or, in the absence of those, applicable law.

Venue of jurisdiction

The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts in the location chosen by Four Hines Technology Group LLC.

US residents

Each party specifically waives any right to a trial by jury in any court in connection with any action or litigation.

Any claims under these terms shall proceed individually and no party shall join in a class action or other proceeding with or on behalf of others.

Dispute resolution

Amicable dispute resolution

You may bring any disputes to us, who will try to resolve them amicably. You may submit the complaint including a brief description, and any applicable details of the related account, order, or purchase, to the address legal@vibechecklist.com to be processed in a timely manner.

Mandatory Informal Resolution & Community Mediation
Before initiating any formal legal action, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms of Service or your use of the Service by contacting us.

If the dispute cannot be resolved informally within thirty (30) days, the parties agree to first attempt in good faith to settle the dispute through confidential mediation. For small claims, billing disputes, or fee-related issues, mediation shall be submitted to the Whatcom County Dispute Resolution Center (or a mutually agreed-upon local community mediation group) in Washington State.

Binding Arbitration
If mediation does not resolve the dispute, any remaining controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration rather than in court.

Selection of Arbitrator
The arbitration shall be conducted by a neutral arbitrator or independent professional mediation/arbitration service selected exclusively from a roster provided by us.

Cost Allocation
To the extent permitted by law, the costs, administrative fees, and arbitrator fees associated with the arbitration shall be borne by the party initiating or raising the issue.

Waiver of Right to Jury Trial and Class Actions
BY AGREEING TO THESE TERMS, YOU AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING IN COURT. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS AGREEMENT MUST BE MEDIATED OR ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS OR CONSOLIDATED BASIS

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions.
